This Non-Disclosure Agreement ("Agreement") is entered into as of the date of submission of the onboarding form ("Effective Date") by and between:

1. Parties:

  • Disclosing Party: The individual or entity submitting the onboarding form ("Client").
  • Receiving Party: Funds to Function, LLC ("Company"), an accounting and business advisory firm.

2. Confidential Information:

The "Confidential Information" includes, but is not limited to:

  • 1. All personal and business details provided by the Client in the onboarding form, including but not limited to first name, last name, phone number, email address, business name, type/industry of business, state of operation, services required, and use of accounting software.
  • 2. Information about the Client’s pending tax issues, additional comments, and other sensitive business or financial data shared during or after the onboarding process.
  • 3. All documents uploaded through the secure document portal or any other medium provided by the Company.

3. Purpose of Disclosure:

The Confidential Information shall be used solely for the purposes of:

  • 1. Evaluating and providing the services requested by the Client in the onboarding form.
  • 2. Communicating and completing the onboarding process.
  • 3. Ensuring compliance with legal and regulatory requirements.

4. Each Party’s Obligations:

The Client agrees to:

  • 1. Not disclose the Company's proprietary systems, processes, or intellectual property shared during the onboarding process.

The Company agrees to:

  • 1. Maintain the confidentiality of the Client’s information and protect it from unauthorized use or disclosure.
  • 2. Use the Confidential Information only for the purposes outlined in this Agreement.
  • 3. Limit access to Confidential Information to employees, contractors, or agents who need to know such information to fulfill their obligations.

5. Exclusions from Confidential Information:

The obligations under this Agreement do not apply to information that:

  • 1. Is already in the public domain at the time of disclosure.
  • 2. Becomes publicly available through no fault of the Receiving Party.
  • 3. Was lawfully known to the Receiving Party prior to disclosure.
  • 4. Is required to be disclosed by law or court order.

6. Term and Termination:

This Agreement shall remain in effect for as long as the Confidential Information remains confidential. The Receiving Party’s obligations under this Agreement will survive termination.

7. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the state in which Funds to Function, LLC operates.

8. Acceptance:

By submitting the onboarding form, the Client acknowledges and agrees to the terms and conditions outlined in the Statement of Work (Service Agreement) and commits to adhering to the Non-Disclosure Agreement.
